​Articles of Association

Chapter 1 General Provisions

 

Article 1

The name of the association is Taiwan Association of Official Analytical Scientists (hereinafter referred to as the Association), and the English name is AOAC (Association of Official Analytical Collaboration) International, Taiwan Section.

 

Article 2

The Association is a non-profit social organization established in accordance with the law. It aims to unite people engaged in analytical science in our country, to devote ourselves to the research, development and application of analytical science, and to enhance international cooperation and academic exchanges, so as to improve analytical science in our country. level.

 

Article 3

The association takes the national administrative region as the organizational area.

 

Article 4

The meeting site of the Association is located in the area where the competent authority is located, and may be reported to the competent authority for approval to establish a branch.
The organizational outline of the branch in the preceding paragraph shall be drawn up by the board of directors and submitted to the competent authority for approval.
The establishment and change of the address of the conference and branch offices shall be reported to the competent authority for verification.

 

The fifth

The mission of the Association is as follows:
1. Promote the development and validation of analytical methods.
2. Holding academic and social activities.
3. Publish conference journals and other publications and communications related to analytical scientific research.
4. Establish channels for communication and communication among members.
5. Encourage academic institutions, analytical institutions, relevant laboratories, factories and individuals within the Association to join the Association.
6. To promote the concern and participation of individuals or groups in the field of analytical science to the Association.
7. Develop cooperative relationships with academic institutions, governments, industry and other institutions.
8. Participate in international conferences and strengthen exchanges and friendship between the Association and relevant international groups.
9. Handling other matters related to analytical science.

 

Article 6

The competent authority of the Association is the Ministry of the Interior.
The purpose business of the Association shall be under the guidance and supervision of the respective business authorities. The purpose business authority of the Association is mainly the Ministry of Health and Welfare.

Chapter 2 Membership

Article 7

The membership application qualifications are as follows:
1. Individual Member: Anyone who agrees with the purpose of the Association and is at least 20 years old.
2. Permanent Member: An individual member who pays the permanent membership fee in accordance with the regulations of the Association, does not need to pay the annual membership fee for life, and can enjoy all the membership rights of the Association.
3. Student members: Students from domestic and foreign universities, independent colleges or vocational schools that agree with the purpose of the Association.
4. Organizational members: All organizations, factories and institutions (institutions) that agree with the purpose of the Association may select three member representatives.
The application form should be filled out and approved by the board of directors, and the membership fee should be paid.

Rights of members (member representatives):
1. The right to vote, vote, be elected and recall, each member (member representative) has one right.
2. The right to speak.
3. Participate in various activities organized by the Association.
4. Enjoy the publications donated by the Association.
However, student members do not have the rights in the first paragraph of the preceding paragraph.

 

Article 9

Members are obliged to abide by the articles of association, resolutions and payment of membership dues.

 

Article 10

When a member (member representative) violates the laws, regulations or does not comply with the resolutions of the general meeting, the board of directors may decide to give a warning or suspension. Those who have serious harm to the group may be removed from the membership by a resolution of the general meeting.

 

Article 11

A member who has one of the following circumstances will be out of the meeting:
1. Those who lose membership.
2. Those who have been removed from the list by the resolution of the general meeting.

 

Article 12

Members may declare their withdrawal from membership to the Association stating the reasons in writing.

 

Article 13

Members who have not paid membership dues shall not enjoy membership rights. Those who have not paid membership dues for two consecutive years shall be deemed to have withdrawn from the membership automatically. If a member wants to apply for reinstatement or reinstatement after being withdrawn, withdrawn or suspended from membership, he or she should pay off the owed membership fees unless there are justifiable reasons.

 

Chapter III Organization and Powers

 

Article 14

The Association takes the General Assembly as the highest authority.
When the number of members exceeds 300, member representatives shall be elected in proportion to each other, and then a member representative meeting shall be held to exercise the functions and powers of the member meeting.
The term of office of member representatives is three years, and the election method shall be formulated by the Council and submitted to the competent authority for approval.

 

Article 15

The functions and powers of the General Assembly are as follows:
1. To formulate and change the articles of association.
2. Election and dismissal of directors and supervisors.
3. Determine the amount and method of membership fee, annual membership fee, member donation and other income.
4. Decide on annual work plans, reports, budgets and final accounts.
5. To decide on the removal of members (member representatives).
6. To decide on the disposition of property.
7. To decide on the dissolution of the Association.
8. To resolve other major matters related to the rights and obligations of members.
The scope of major matters in Subparagraph 8 of the preceding paragraph shall be determined by the Council.

 

Article 16

The association has 15 directors and 5 supervisors, who are elected by members (member representatives) to establish a board of directors and a board of supervisors respectively.
When electing the directors and supervisors in the preceding paragraph, three alternate directors and one alternate supervisor may be elected at the same time according to the counting of votes.
The current board of directors may propose a reference list of candidates for the next board of directors and supervisors.
Directors and supervisors may be elected by correspondence, but not consecutively. The method of election by communication shall be adopted by the Council and submitted to the competent authority for approval.

 

Article 17

The powers of the council are as follows:
1. Examining the qualifications of members (member representatives).
2. Election and removal of executive directors and directors.
3. To resolve the resignation of directors, executive directors and chairman.
4. Formulate annual work plans, reports, budgets and final accounts.
5. Hiring and dismissing staff.
6. Other matters to be implemented.

 

Article 18

The Council shall have five executive directors, who shall be elected by the directors, and one of the executive directors shall be elected by the directors as the chairman.
The chairman comprehensively supervises and supervises the affairs of the association internally, represents the association externally, and serves as the chairman of the general assembly and the council.
If the chairman of the board of directors is unable to perform his duties, he shall designate one of the executive directors to act on his behalf. If it is not appointed or cannot be appointed, the executive directors shall mutually recommend one person to act on their behalf.
When the chairman and executive director become vacant, by-election shall be made within one month.

 

Article 19

The functions and powers of the Supervisory Committee are as follows:
1. Supervise the execution of the work of the council.
2. Review the annual final accounts.
3. Election and removal of executive supervisors.
4. To resolve the resignation of supervisors and standing supervisors.
5. Other matters that should be monitored.

 

Article 20

The board of supervisors shall appoint a standing supervisor, who shall be elected by the supervisors from among themselves, to supervise the daily affairs of the board of directors, and to serve as the chairman of the board of supervisors.
If a standing supervisor is unable to perform his duties due to certain matters, he shall designate a supervisor to act on his behalf.
When a standing supervisor becomes vacant, a by-election shall be made within one month.

 

Article 21

Directors and supervisors are all unpaid, with a term of three years, and may be re-elected. The chairman shall not be re-elected.
The term of office of directors and supervisors shall be calculated from the date of convening the first session of the board of directors.

 

Article 22

Directors and supervisors who have one of the following circumstances shall be dismissed immediately:
1. Those who lose membership.
2. Those whose resignation is approved by the board of directors or the board of supervisors.
3. Those who have been dismissed.
4. Those who have been subject to suspension for more than half of their term of office.

 

Article 23

The association has a secretary general who will handle the affairs of the association under the order of the chairman. Several other staff members are nominated by the chairman and approved by the board of directors, and reported to the competent authority for reference.
However, the dismissal of the Secretary-General shall be reported to the competent authority for approval.
The staff in the preceding paragraph shall not be served by directors or supervisors.
The powers, responsibilities and hierarchical responsibilities of the staff shall be determined by the Council.

 

Article 24

The Association may set up various committees, groups or other internal operating organizations, and the organizational outline shall be drawn up by the Council, reported to the competent authority for approval and implemented, and the same applies for changes.

 

Article 25

The Association may appoint the outgoing chairman as an honorary director with the approval of the board of directors, and honorary directors should be invited to attend important meetings of the association for guidance. In addition, with the approval of the board of directors, several consultants may be hired. The term of appointment of the consultants is the same as that of the current directors and supervisors.

Chapter IV Meeting

 

Article 26

The general meeting of members is divided into two types: regular meeting and temporary meeting, which shall be convened by the chairman. Except for the emergency meeting, the meeting shall be notified in writing 15 days in advance.
Regular meetings are held once a year, and extraordinary meetings are held when the board of directors deems it necessary, or at the request of more than one-fifth of the members (member representatives), or when the board of supervisors requests to convene by letter.

 

Article 27

When a member (member representative) cannot attend the general meeting in person, he may authorize other members (member representative) to act as his proxy in writing, and each member (member representative) is limited to one representative.

 

Article 28

The resolution of the general meeting shall be implemented with the attendance of more than half of the members (member representatives) and the consent of the majority of the number of attendees. However, resolutions on the following matters shall be implemented with the consent of more than two-thirds of the attendees.
1. The formulation and modification of the articles of association.
2. Removal of members (member representatives).
3. Removal of directors and supervisors.
4. Disposition of property.
5. Dissolution of the Association.
6. Other important matters related to the rights and obligations of members.
After the association has registered as a legal person, changes to the articles of association shall be subject to the consent of more than three-quarters of the attendees or the written consent of more than two-thirds of all members.
The association may be dissolved at any time by a vote of more than two-thirds of all members.

 

Article 29

The board of directors and the board of supervisors shall convene at least once every six months, and may hold joint or extraordinary meetings when necessary.
When the meeting referred to in the preceding paragraph is convened, except for an extraordinary meeting, a written notice shall be given seven days in advance, and the resolutions of the meeting shall be implemented with the attendance of more than half of the directors and supervisors, and the consent of the majority of the attendees. The meeting of the board of directors and supervisors may be held by video conference, and the directors or supervisors who participate in the meeting by video conference are deemed to be present in person. Discussion topics shall not involve elections, by-elections, recall, or the formulation of organizational regulations.

 

Article 30

Directors shall attend the board meeting, and supervisors shall attend the supervisory meeting. Directors and supervisors who are absent from the board of directors and the board of supervisors for two consecutive unexcused absences shall be deemed to resign.

Chapter V Funds and Accounting

 

Article 31

The sources of funding for the Association are as follows:
1. Membership fee: NT$500 for individual members, NT$200 for student members, NT$10,000 for group members, payable when members join the membership. The amount of the membership fee for permanent members shall be determined by the first joint meeting of directors and supervisors, and shall be submitted to the second general meeting for ratification.
2. Annual membership fee: NT$500 for individual members, NT$200 for student members, NT$10,000 for group members, and free for permanent members.
3. Business expenses.
4. Member donations.
5. Entrusted income.
6. The fund and its benefits.
7. Other income.

 

Article 32

The accounting year of the Association shall be based on the national calendar year, starting from January 1st to December 31st each year.

 

Article 33

Every year, two months before the start of the fiscal year, the Council will prepare the annual work plan, income and expenditure budget table, and employee treatment table, and submit it to the general meeting for approval (if the general meeting cannot be held as scheduled for some reason, the joint meeting of supervisors shall be submitted first. passed), and report to the competent authority for approval before the beginning of the fiscal year. And within two months after the end of the fiscal year, the board of directors will prepare the annual work report, income and expenditure final statement, cash statement, balance sheet, financial catalog and fund income and expenditure statement, and send it to the board of supervisors for review, and then prepare an audit opinion letter and send it back. The board of directors shall submit it to the general meeting for approval and report to the competent authority for approval before the end of March (if the general meeting cannot be held as scheduled, it shall be reported to the competent authority first.)

 

Article 34

After the association is dissolved, the remaining property shall belong to the local self-government organization or the organization designated by the competent authority.

 

Chapter 6     Supplementary Provisions

 

Article 35

Matters not stipulated in this charter shall be handled in accordance with relevant laws and regulations.

 

Article 36

The Articles of Association shall be adopted by the general meeting of members (member representatives), and shall be implemented after being reported to the competent authority for examination and approval. The same applies to changes.

 

Article 37

This constitution was approved by the first general meeting of the first member of the association on December 10, 1990. Reported to the Ministry of the Interior on January 23, 1991, Tai Nei She Zi No. 0910002174 for approval.

This Articles of Association was approved by the Ninth Third General Meeting of the Association on October 24, 109. It was approved by the Ministry of the Interior in the letter of Tai Nei Tuan Zi No. 1090282624 dated December 25, 109.
